Terms of Service

1. Acceptance

These terms govern your use of the Broctic website, console, Studio, API, SDK and related services (the “Service”), provided by Broctic Inc. (“Broctic,” “we,” “us”). By creating an account or using the Service you agree to these terms, our Acceptable Use Policy and our Privacy Policy. If you use the Service for an organization, you confirm you are authorized to accept these terms for it, and “you” includes that organization.

2. Accounts

You must be at least 16 years old and give accurate information. You are responsible for your account, for keeping your password, API keys and connected credentials secure, and for all activity under your account and organization. Tell us promptly at irennie@broctic.com if you suspect unauthorized access.

3. The Service

Broctic helps you build mobile apps with AI, preview them in the browser, build them with Expo EAS, submit them to the App Store, market them and measure their revenue. The Service is currently in preview (beta): features may change or be removed, and it may contain errors. AI-generated code, text and images can be wrong or incomplete, and you should review them before you publish.

4. Your content and ownership

You own your apps, the source code generated for you, and everything you upload or create with the Service (“Customer Content”). You grant Broctic a limited, worldwide licence to host, copy, process, transmit and display Customer Content only as needed to provide and secure the Service and as you direct (for example, sending a build to Apple or a post to Instagram). You can export your code and delete your content at any time.

You are responsible for Customer Content and confirm you have the rights needed to use it, including for any data your apps collect from their users. Where we process your end users’ personal data, we do so on your behalf as described in our Privacy Policy.

5. Acceptable use

You must follow our Acceptable Use Policy. We may remove content or suspend access that violates it.

6. Third-party services

The Service works with services run by others — including Apple (App Store Connect, the App Store Server API and the Apple Developer Program), Expo, GitHub, PostHog, OpenRouter, Upload-Post, Instagram and TikTok. Your use of them is governed by their own terms, and you are responsible for having the accounts they require. In particular, you are the publisher of your apps and are responsible for complying with Apple’s App Store Review Guidelines and developer agreements, and with each social platform’s rules. We are not responsible for third-party services, for their decisions (such as App Store rejections), or for changes to their APIs.

7. Fees

During the preview, the Service is offered without charge. We will not charge you unless you opt in to a paid plan or paid feature after being shown its price. Paid plans, when offered, will be billed as described at the time of purchase, and taxes may apply. Fees charged by third parties (for example Apple’s developer fee or commission, or your own OpenRouter usage) are between you and them.

8. Our intellectual property

Broctic owns the Service, including its software, templates, component kit, design and brand. Subject to these terms, we grant you a limited, non-exclusive, non-transferable right to use the Service. Kit and template code that ends up in your app may be used, modified and distributed as part of that app. You may not copy, resell or reverse-engineer the Service, or use it to build a competing product. If you send us feedback, we may use it without obligation to you.

9. Confidentiality

Each party will protect the other’s non-public information received through the Service — including your Customer Content and credentials, and our non-public product and security information — with reasonable care, and use it only to perform under these terms. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law (with notice where permitted).

10. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Broctic disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted or error-free, that AI output will be accurate, or that any app will be approved by Apple or earn revenue.

11. Limitation of liability

To the fullest extent permitted by law, Broctic will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Broctic’s total liability for all claims relating to the Service is limited to the greater of the amounts you paid us in the 12 months before the claim and CAD $100. Some jurisdictions do not allow these limits, so they may not apply to you.

12. Indemnity

You will defend and indemnify Broctic against third-party claims, and related losses and costs, arising from your Customer Content, your apps, or your breach of these terms or of law.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these terms, if required by law, or if your use risks harm to the Service or others; where reasonable, we will give notice first. If we discontinue the Service, we will give you reasonable notice to export your code. Sections that by their nature should survive (including 4, 8–12 and 14) survive termination.

14. Governing law

These terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in Toronto, Ontario have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court.

15. Changes to these terms

We may update these terms. We will post the new version here with a new effective date and, for material changes, notify account holders before they take effect. Continuing to use the Service after that means you accept the updated terms.
